Terms of Service

1. Eligibility and Authority

You must be legally able to enter into contracts and, if acting on behalf of an entity, represent that you have authority to bind that entity to these Terms.

2. Accounts and Security

• You are responsible for all activity under your account credentials.
• You must maintain accurate account information and promptly update changes.
• You must notify us immediately of unauthorized account use or security incidents.
• You agree to use reasonable security practices, including MFA where available.

3. Subscriptions, Fees, and Billing

Paid plans are billed in advance under your selected subscription terms. Unless otherwise agreed, subscriptions renew automatically until canceled. You authorize us (or our payment processor) to charge applicable fees, taxes, and adjustments.

Except where required by law, fees are non-refundable once billed. You can cancel renewal through account settings before the next billing cycle.

4. Acceptable Use

You agree not to:

• Use the Services in violation of law, regulation, or third-party rights.
• Attempt to gain unauthorized access to systems, accounts, or data.
• Interfere with platform integrity, performance, or security controls.
• Reverse engineer, copy, scrape, or misuse the Services beyond permitted scope.
• Transmit malware, abusive content, or fraudulent requests through the Services.

5. Third-Party Integrations

The Services may connect to third-party platforms (such as commerce, payment, marketing, or fulfillment providers). Your use of those integrations is subject to third-party terms and API policies. You are responsible for obtaining and maintaining any required third-party authorizations.

6. Customer Data and Your Content

You retain ownership of your data and content. You grant Cented a limited license to host, process, transmit, and display your data solely to provide, secure, and improve the Services and to meet legal obligations.

You represent that you have all rights and permissions necessary for data you provide or connect.

7. Intellectual Property

Cented and its licensors own all right, title, and interest in the Services, including software, branding, design, and documentation. Except for limited rights expressly granted in these Terms, no license or ownership right is transferred to you.

8. Confidentiality

Each party may receive confidential information from the other. The receiving party will protect confidential information using reasonable safeguards and will not use or disclose it except as needed to perform obligations under these Terms.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, CENTED DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CENTED WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

CENTED'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY YOU TO CENTED FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

11. Indemnification

You agree to defend, indemnify, and hold harmless Cented and its affiliates from claims, liabilities, damages, and costs (including reasonable attorneys' fees) arising from your use of the Services, your content, your integrations, or your violation of these Terms.

12. Suspension and Termination

We may suspend or terminate access to the Services for non-payment, security risk, violation of these Terms, or legal requirements. You may stop using the Services at any time and cancel according to your subscription terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction where Cented is incorporated, without regard to conflict-of-law rules, unless otherwise required by applicable law.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Services or by other reasonable means and update the "Last updated" date above. Continued use of the Services after the effective date of updated Terms constitutes acceptance.
